1. ELIGIBILITY: The Sweepstakes is open only to legal residents of the 50 United States or the District of Columbia who are 18 years of age or older at the time of entry. Only Entrants who will be 21 years of age or older by December 31, 2008 are eligible to win the Grand Prize. All Entrants 18 years of age or older at the time of entry are eligible to win First Prizes. Employees, officers, and directors of the following entities and immediate family and/or household members of such individuals are not eligible for participation under any circumstances: Maxell Corporation of America, Inc., Live Nation Marketing, Inc., and their respective parent companies, subsidiaries and affiliates, printers, advertising and promotional agencies, web masters and web suppliers, importers, wholesalers, distributors or retailers. Void where prohibited by law. By participating, entrants agree to these Official Rules.

2. TO ENTER: Accurately fill in the on-line submission form at www.maxell-sweeps.com. All entries must be submitted and received between 12:01 a.m. ET November 1, 2008 and 11:59 p.m. ET November 30, 2008. Sponsor’s clock shall be the official clock of the Sweepstakes. Limit one entry per person, per e-mail address per day. Use of third-party software of website to enter or participate is prohibited.

3. TIMING: Sweepstakes begins November 1, 2008 at 12:01 a.m. ET, and ends November 30, 2008. at 11:59 p.m. ET. Sponsor assumes no responsibility for late, illegible, incomplete, or incorrect entries, all of which are void. All entries become the property of the Sponsor and will not be returned.

4. PRIZE DETAILS/ODDS OF WINNING:

21 and Over Grand Prize: One (1) winner, 21 years of age or older by December 31, 2008, will be awarded a one night/two day fly-away trip for winner and three guests to a 2009 New Year’s Eve concert of winner’s choice at any House of Blues club (age restrictions apply). Prize includes round-trip coach airfare for four from major airport nearest winner’s residence, one night hotel accommodations for two rooms based on double occupancy in or near destination city, two (2) $500 House of Blues gift card redeemable at House of Blues venue stores, and 4 best available (at time of purchase) tickets to the New Year’s Eve concert at any House of Blues club in the destination city. Concert can be chosen from available tickets by accessing www.hob.com and choosing from the list of concerts designated for New Years Eve, December 31, 2008. Tickets are subject to availability. Approximate Retail Value (ARV) of the Prize Package is $8,120. The actual value will depend on the final itinerary; and any difference between the stated value and actual value will not be awarded. Trip must be taken on dates and times specified by sponsor and winner must be able to travel on or about December 31, 2008. All travel and accommodations may be subject to change, restrictions, and black out periods.

First Prizes: Ten (10) First prizes will be awarded. Winners will receive two (2) $200 House of Blues gift cards redeemable at House of Blues venue stores and four (4) best available (at time of purchase) tickets to one concert of their choice at any House of Blues club (age restrictions apply). Concert can be chosen from available tickets by accessing www.hob.com and choosing from the list of concert designated events between January 15, 2009 and March 31, 2009. Tickets subject to availability and must be selected by January 30, 2009. Approximate retail value per prize is $800.00 each. All travel expenses, accommodations and any other expenses not expressly mentioned are the responsibility of the first prize winner.

Prizes are non-transferable and no substitutions or cash redemptions will be made, except in case of the unavailability of the prize. Sponsor reserves the right to award a prize of equal or greater value. If winners cannot accept the prize as stated, the prize will be forfeited in its entirety and awarded to an alternate winner, provided sufficient time remains to verify alternate winner and ticket prize. The odds of winning depend on number of all eligible entries received. Approximate retail value of all Prizes: $16,120.00.

5. DRAWING: Prize Winners will be selected via a random drawing on or about December 2, 2008 from all eligible entries received. The drawing and awarding of the prizes will be conducted by Promotion Management Center, Inc. an independent judging organization, whose decisions are final and binding in all matters relating to this Promotion. Promotion Management Center, Inc. will attempt to notify potential winners by mail, email and/or telephone approximately four (4) days after drawing. If any winner is a minor in his/her jurisdiction of residence, prize may be awarded in the name of, or to, winner’s parent/legal guardian who must execute all documents and agree to all obligations and undertakings of winner, both on behalf of himself/herself and winner, or prize may be forfeited and awarded to an alternate winner, provided sufficient time remains to verify alternate winner and ticket prize. Winners will be required to sign and return an affidavit of eligibility, liability release and, where lawful, a publicity release within seven (7) days of attempted notification. If documents are not returned within this time period, or if the prize/prize notification is returned as non-deliverable, or if winner is found to be ineligible or not in compliance with these Official Rules, prize will automatically be forfeited and an alternate winner selected, provided sufficient time remains to verify alternate winner and ticket prize, otherwise prize will not be awarded. All properly claimed prizes will be awarded, but in no event will Sponsor award more prizes than are provided for in these Official Rules. Winner’s guest will be required to sign a release of liability prior to departure. If winner's guests are a minor in his/her jurisdiction of primary residence, guest must be accompanied by parent or legal guardian who must also sign and return all required documentation. Limit one (1) prize per person/family/household.

6. CONDITIONS OF PARTICIPATION: All federal, state and local taxes are solely the responsibility of the winners. By accepting the prize, winner waives the right to assert as a cost of winning said prize, any and all costs of redemption or travel to redeem said prize and any and all liability that may arise from redeeming or seeking said prize. It is Grand Prize winner’s sole responsibility to arrange transportation to and from the major airport nearest winner’s residence. All travel arrangements must be made with Sponsor’s agency at least seven (7) days in advance of the trip. Winner also accepts sole responsibility for all costs of any meals, local transportation, tips and any other miscellaneous costs relating to use and acceptance of this prize other than as specifically stated herein. Travel and accommodations are subject to change and availability and restrictions may apply. No responsibility is assumed for any cancellation or rescheduling of the chosen House of Blues concert, in whole or in part. The First Place Prizes do not include any form of transportation or accommodations and these expenses are the full responsibility of the prize winner and guests. In the event that any prize component is not available for any reason, then remaining elements of prize shall constitute full satisfaction of Sponsor’s prize obligation to winner and no substitute or additional compensation will be awarded. Winners may not substitute, assign or transfer prizes, but Sponsor reserves the right, in its sole discretion to substitute prize with another prize of equal or greater value should the advertised prize become unavailable for any reason. In the event that a winner chooses not be accompanied by a guest, winner will not be compensated for prize winnings not redeemed.

7. RELEASE/PUBLICITY/PRIVACY: Entrants agree that (a) Maxell Corporation of America, Inc., Live Nation Marketing, Inc., and their respective parent companies, subsidiaries and affiliates, advertising and promotional agencies, and all of their respective officers, directors, employees, representatives and agents will have no liability whatsoever and shall be held harmless against any liability for any injuries, losses, or damages of any kind, to persons, including death, or property caused in whole or in part, directly or indirectly, from acceptance, possession, misuse or use of any prize or participation in this Sweepstakes or any Sweepstakes related activity, or for any typographical, human or other error in the printing, offering or announcement of any prize; and (b) for virus or other damage caused to participant’s computer through participation in the Sweepstakes. Sponsor not responsible for telephone, computer, printer, or network malfunction or error. Except where prohibited, acceptance of prize constitutes winners’ consent for Sponsor and those acting under its authority to use his or her name, likeness and biographical data for advertising and promotional purposes without added compensation in all media now known or hereafter discovered, worldwide and on the World Wide Web, without notice, review or approval. Entrants’ names and personal information will be used by Sponsor solely for the purpose of contacting the winners and fulfilling the prizes of this Sweepstakes and will not be disclosed, sold or rented to any third parties for any purpose. If, for any reason, the Internet portion of the Sweepstakes is not capable of running as planned, Sponsor reserves the right to terminate the Internet portion. In the event Sponsor does so, it shall post notice thereof on the Sweepstakes website and shall choose winners in a random drawing from among all valid Internet entries received as of the date of cancellation.

WINNERS LIST/OFFICIAL RULES: For the name of prize winners by mail, available after January 1, 2009, send a self addressed envelope with proper postage affixed to Maxell HOB New Year’s Eve Sweepstakes Winners List, Dept. 6069WL, PO Box 5008, Stacy, MN 55078-5008.
